Terms and Conditions of Sale

These Terms and Conditions (“Terms”) apply to all sales of goods and services by JLC Prints (“we”, “our”, “us”) to business customers (“you”, “your”). By placing an order with us, you agree to be bound by these Terms.

1. Definitions

  • “Goods” means any products supplied by us.
  • “Contract” means the agreement between us for the supply of Goods, incorporating these Terms.

2. Orders

  • All orders are subject to acceptance by us in writing.
  • Quotations are valid for 30 days unless otherwise stated.
  • You are responsible for ensuring that all order details (including specifications, quantities, and artwork for customised Goods) are accurate.

3. Price & Payment

  • Prices are quoted in GBP (£), exclusive of VAT unless stated otherwise.
  • Payment is due in full at the time of order.
  • All invoices must be paid in full before we begin production of the Goods.
  • We reserve the right to withhold or cancel orders where payment has not been received.

4. Delivery

  • Delivery dates are estimates only and time is not of the essence.
  • Risk in the Goods passes to you upon delivery.
  • Title in the Goods shall not pass until full payment has been received.
  • In the event of a parcel being lost in transit or arriving damaged, we will provide a replacement only. Refunds will not be issued in such circumstances.

5. Returns & Cancellations

  • Orders for customised/personalised Goods cannot be cancelled or refunded once confirmed.
  • Non-customised Goods may only be returned with our prior written consent and may be subject to a handling fee.

6. Warranty

  • We warrant that Goods will materially conform to the agreed specification at the time of delivery.
  • We do not warrant that Goods are fit for any particular purpose unless expressly agreed in writing.

7. Intellectual Property

  • All intellectual property rights in our designs, artwork, and products remain our property.
  • Where you supply artwork, you warrant that you own or have the right to use it, and you indemnify us against any third-party claims.

8. Limitation of Liability

  • Our liability for defective Goods shall be limited to repair, replacement, or refund of the price paid.
  • We shall not be liable for any indirect, consequential, or loss of profit.
  • Nothing in these Terms excludes liability for death or personal injury caused by negligence, or for fraud.

9. Force Majeure

We shall not be liable for delays or failure to perform due to circumstances beyond our reasonable control, including strikes, supply chain issues, or transport delays.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
